ULLCloud provides specialized cloud infrastructure with optimized virtual machines and low latency links between global crypto markets and stock exchanges, designed for high-frequency trading and algorithmic trading systems. Our Services include:

• Ultra-low latency cloud infrastructure
• Optimized virtual dedicated servers
• Direct connectivity to global exchanges
• Technical support and maintenance

3. Account Registration and Security

To access certain features of our Services, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify ULLCloud immediately of any unauthorized use of your account.

4. Service Level Agreements

ULLCloud provides Service Level Agreements (SLAs) that specify performance guarantees, including latency metrics, uptime guarantees, and technical support response times. Specific SLA terms will be provided in your service contract. While we strive to maintain nanosecond precision and optimal performance, you acknowledge that network conditions and other factors beyond our control may occasionally affect service performance.

5. Payment Terms

You agree to pay all fees specified in your service agreement. Unless otherwise specified, all fees are quoted in US Dollars. Payments are typically due in advance of the service period. Failure to make timely payments may result in service suspension. We reserve the right to change our prices upon reasonable notice.

6. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You shall not use our Services to:

• Violate any applicable laws, regulations, or securities trading rules
• Engage in market manipulation or other prohibited trading practices
• Attempt to gain unauthorized access to any portion of our systems
• Interfere with or disrupt the integrity or performance of the Services
• Conduct denial of service attacks or similar disruptive activities
• Transmit viruses, malware, or other malicious code

7. Intellectual Property

ULLCloud and its licensors own all right, title, and interest in and to the Services, including all related intellectual property rights. No rights are granted to you other than as expressly set forth herein. You may not copy, modify, distribute, sell, or lease any part of our Services without our express permission.

8. Confidentiality

Each party agrees to protect the other's confidential information with the same standard of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential information includes trading strategies, system architectures, performance metrics, and any other non-public information shared between parties.

9. Limitation of Liability

To the maximum extent permitted by law, ULLCloud shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from your use of or inability to use the Services. In no event shall our total liability to you for all claims exceed the amount paid by you to ULLCloud for the Services during the twelve (12) months preceding the event giving rise to the liability.

10. Indemnification

You agree to defend, indemnify, and hold harmless ULLCloud, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

11. Term and Termination

These Terms will remain in effect until terminated by either you or ULLCloud. You may terminate these Terms by discontinuing use of our Services and closing your account. We may terminate or suspend your access to our Services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users of the Services, us, or third parties, or for any other reason.

12. Changes to Terms

We may modify these Terms at any time by posting the revised terms on our website. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

13. Governing Law
